Terms of Use

ZANDO TERMS OF USE

These Terms of Use ("Terms") govern your use of the Zando website, newsletters, email communications, Discord server(s), and other online services that link to these Terms (collectively, the "Site"), and your participation in the Zando Influencer Program ("ZIP") and any other Zando promotions, programs, or campaigns. 

By using the Site, joining or participating in ZIP or any other program, or accepting Program Materials, you agree to these Terms. If you do not agree, do not use the Site, join or participate in any program, or accept any Program Materials. 

We may provide additional program rules, guidelines, or requirements from time to time (including ZIP or other promotions). Those additional terms apply to the relevant program, promotion, or activity, and are incorporated into these Terms by reference. 

1. Use of the Site 

You may use the Site only for personal, lawful, non-commercial purposes, unless we expressly allow otherwise in writing. 

You may not: 

  • copy, reproduce, distribute, publish, modify, or create derivative works from the Site or its content, except as allowed by law or with our written permission; 
  • use the Site in any way that violates any law or the rights of others; 
  • interfere with the Site's operation or security; 
  • use bots, scrapers, crawlers, data-mining tools, or similar automated means to access, monitor, collect from, or copy the Site or its content; 
  • use any Site content, data, or materials to train, test, or improve any artificial intelligence or machine learning system without our prior written consent’ 
  • use the Services for any commercial purpose without our prior written consent, except as expressly authorized by us in connection with ZIP or another program. 

We may suspend or terminate access to the Services at any time if we believe you have violated these Terms or applicable law. 

2. Ownership 

The Site and its content, including text, images, graphics, logos, designs, audio, video, software, and other materials, are owned by Zando or its licensors and are protected by intellectual property and other applicable laws. 

Nothing on the Site gives you any ownership rights or license except the limited right to use the Site as allowed by these Terms. 

Nothing on the Site should be understood as an endorsement of any person, company, product, service, or content unless we expressly state otherwise. 

3. User Submissions 

 If you send or submit to us any content, including reviews, comments, messages, photos, videos, captions, testimonials, feedback, suggestions, or other materials, including content submitted in connection with ZIP or another program through email, Discord, social media, or other channels we designate, you grant Zando a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, distribute, display, perform, publish, adapt, modify, translate, create derivative works from, and otherwise use that content in any media now known or later developed for any lawful business purpose. 

You represent that you own or control the rights necessary to submit the User Submission and to allow us to use it as described in these Terms, and that your User Submission does not violate any law or any person’s rights. 

You are responsible for your User Submissions. We may remove or decline to post them at any time. 

4. Programs, ZIP, and Program Materials 

If you participate in ZIP or another Zando program, you must follow these Terms and any additional program rules we provide. 

Program communications may be provided by email, Discord, or other channels we designate, and you are responsible for reviewing those communications and any program rules we provide through them. 

“Program Materials” means any books, advance reader copies, galleys, manuscripts, proofs, excerpts, promotional materials, merchandise, digital materials, links or other items or content we provide to you in connection with ZIP or another program. 

By accepting Program Materials, you acknowledge that they are not for resale or commercial distribution under any circumstances.  You may not sell, auction, barter, transfer for value, or commercially distribute Program Materials, including advance reader copies (ARCs), on eBay, Amazon, Facebook Marketplace, PangoBooks, or any other marketplace or platform. 

If you submit content to us as part of ZIP or another program, that content is a User Submission and is subject to these Terms and any additional program rules. 

Please respect copyright.  You may not use Program Materials or any book content in a way that infringes our rights or the rights of our authors or licensors. For example, unless we expressly authorize it, do not post page-by-page videos , extensive interior photographs, unauthorized read-alouds, substantial excerpts, or other content that reproduces or publicly performs protected material. We may use any rights and remedies available under applicable law and platform rules to address infringing content. 

We reserve the right, but not the obligation, to investigate suspected violations of these Terms or our program rules, including using publicly available or lawfully obtained information from third-party platforms. 

If we believe you have violated these Terms or our program rules, we may suspend or terminate your participation, refuse future participation, withhold future Program Materials, require return or destruction of Program Materials where appropriate, report violations to relevant platforms or service providers, seek injunctive relief, and pursue any other remedies available under these Terms or applicable law. These remedies are not exclusive. 

5. Privacy 

Your use of the Site and participation in any Zando program is also subject to our Privacy Policy.

6. Third-Party Links and Content 

The Site may contain links to third-party websites, services, products, or content. We are not responsible for them and do not control them. 

Nothing on the Site should be understood as an endorsement of any person, company, product, service, or content unless we expressly state otherwise. 

7. Copyright Complaints 

If you believe content on the Site infringes your copyright, you may send us a notice that includes: 

  • your name and contact information; 
  • a description of the copyrighted work you claim has been infringed; 
  • a description of where the allegedly infringing material appears; 
  • a statement that you have a good-faith belief the use is not authorized; and 
  • a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act on the copyright owner's behalf.

8. Disclaimer 

The Site, Program Materials, and all content and services are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.  We do not guarantee that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. 

9. Limitation of Liability 

To the fullest extent permitted by law, Zando and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or related to the Site, any Program Materials, any program, or these Terms, even if advised of the possibility of those damages. 

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site, any Program Materials, any program, or these Terms will not exceed $100. 

Nothing in these Terms limits liability that cannot be limited under applicable law. 

10. Indemnification 

You agree to indemnify, defend, and hold harmless Zando and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your User Submissions, or your misuse of the Site or any program. 

11. Eligibility 

The Site is intended for users age 13 or older. You must be at least 18 years old to participate in ZIP or any program that provides Program Materials, unless we expressly state otherwise. 

12. Changes to These Terms 

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on the Site with a new effective date. Your continued use of the Site or participation in a program after the changes take effect means you accept the revised Terms. 

13. Governing Law and Venue 

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. 

Any dispute arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts. 

14. General 

If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver of that provision. 

These Terms, together with any applicable additional program terms and our Privacy Policy, form the entire agreement between you and Zando regarding the Site and any program to which they apply.
